TERMS OF SERVICE AGREEMENT
This Terms of Service Agreement (“Agreement”) is entered into by and between the Participant (“Participant” or “You”) and Steve Roehm and Conversational Alchemy™ (collectively referred to herein as “Company,” “We,” or “Us”) in connection with the Participant’s enrollment in and participation in the Conversational Alchemy™ Live Training (“Event”), to be held June 9–14, 2025 in Nashville, Tennessee.

By enrolling in the Event, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement in full.

1. Eligibility and Attendance Requirements
1.1. No prior experience is required for participation; however, full engagement and attendance are required.
1.2. Participant acknowledges and agrees that attendance at all six (6) days of the Event is required for eligibility to participate in certification testing.
1.3. Certification may include both written and/or performance-based assessments, as determined solely by the Company.

2. Fees, Refunds, and Cancellation Policy
2.1. Tuition for the Event is $4,997 USD.
2.2. All fees paid are deemed non-refundable within thirty (30) calendar days of the Event’s scheduled start date.
2.3. Cancellations received more than thirty (30) calendar days prior to the Event are eligible for a refund, subject to a ten percent (10%) administrative fee.
2.4. In the event of cancellation within thirty (30) calendar days of the Event, no refunds shall be issued; however, Participant may be eligible to apply the payment as a credit toward a future training of equal or lesser value, which may be delivered online at the Company’s discretion.
2.5. No-shows or failure to complete the Event in its entirety shall result in forfeiture of all fees and eligibility for certification.

3. Code of Conduct and Ethics
3.1. Participant agrees to adhere to a high standard of professional conduct during and after the Event, including but not limited to:

Respecting the boundaries and consent of others;

Refraining from disruptive, abusive, harassing, or unethical behavior;

Avoiding any use of the taught techniques to manipulate, deceive, exploit, or otherwise cause harm.

3.2. Violation of any part of this Section shall constitute grounds for:

Immediate removal from the Event without refund;

Permanent revocation of certification (if granted);

Denial of access to all future events, trainings, and affiliated communities, including those under the Conversational Alchemy™, Subtle Communication™, or other Steve Roehm properties.

3.3. Ethical violations discovered after the Event may result in retroactive revocation of certification and permanent exclusion from all current and future programs and communities.

4. Certification
4.1. Certification is granted solely at the discretion of the Company and is contingent upon:

Full participation in all sessions of the Event;

Demonstrated competency and ethical understanding;

Completion of all required assessments, written or performative.

4.2. Certification is not a license to practice therapy or any regulated profession and should not be construed as such.

5. Confidentiality and Intellectual Property
5.1. All materials, techniques, recordings, documents, and proprietary content presented during the Event are the confidential intellectual property of the Company and/or Steve Roehm.

5.2. Participant agrees not to:

Copy, reproduce, share, distribute, teach, or license any part of the material without express written permission from the Company;

Use any proprietary techniques outside the bounds of their ethical intent and context as taught;

Record or publish any portion of the Event without written authorization.

5.3. Participation in the Event constitutes agreement to the separate Confidentiality and Non-Disclosure Agreement provided by the Company, the terms of which are incorporated herein by reference.

6. Media Release
6.1. Participant hereby grants the Company the irrevocable right and permission to record, photograph, livestream, or otherwise capture their image, likeness, and voice during the Event.

6.2. Participant further grants the Company and its assigns the unrestricted right to use such media, without compensation or notification, in any format and for any lawful purpose, including but not limited to:

Advertising or promotion;

Educational and training materials;

Online distribution or paid products.

7. Force Majeure and Event Modification
7.1. In the event the Company is prevented from hosting the Event in-person due to circumstances beyond its control (including, but not limited to, natural disasters, governmental restrictions, public health emergencies, or venue issues), the Company reserves the right to reschedule, relocate, or convert the Event to an online format.

7.2. Participant understands that no refunds shall be issued in the event of such conversion or modification.

8. Assumption of Risk and Limitation of Liability
8.1. Participant understands and agrees that the Event is intended for educational and personal development purposes only and is not a substitute for medical, psychological, or psychiatric treatment.

8.2. Participant assumes full responsibility for their own emotional, mental, and physical well-being before, during, and after the Event.

8.3. To the maximum extent permitted by law, the Company disclaims any liability for direct or indirect damages, injuries, losses, or consequences arising from participation in the Event or use of the material taught.

9. Governing Law and Dispute Resolution
9.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, United States.

9.2. Any disputes arising under this Agreement shall be subject to confidential arbitration in Nashville, Tennessee, under the rules of the American Arbitration Association, and judgment upon the award may be entered in any court having jurisdiction.

10. Entire Agreement and Amendments
10.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, representations, or understandings.

10.2. The Company reserves the right to amend these Terms of Service at any time, and such amendments shall become binding upon publication on the official Event website or communication to enrolled Participants.

By submitting payment and/or application to participate in Conversational Alchemy™ Live, Participant acknowledges that they have read, understood, and agreed to all terms set forth in this Agreement.
